Accounts, Billing, and Refunds

4) Eligibility, Accounts, and Security

4.1 Eligibility

You must be able to form a binding contract and comply with applicable laws. The Service is not intended for children under 13, or any higher minimum age required by applicable law.

4.2 Account accuracy

You agree to provide accurate, current, and complete account, billing, registrant, and contact information and to keep it reasonably updated.

4.3 Account security

You are responsible for maintaining the confidentiality of credentials, restricting access to your Account, using strong passwords, enabling security features we make available, safeguarding API keys, tokens, and similar credentials, and maintaining appropriate internal security controls. You are responsible for all activity under your Account except to the extent caused directly by our material breach of these Terms or our failure to use commercially reasonable security measures.

4.4 Users and delegated administrators

You are responsible for the acts and omissions of your employees, contractors, agents, delegated administrators, and any person who accesses the Service through your Account or with your credentials.

4.5 OAuth

If you use Google, GitHub, or another OAuth or identity provider to authenticate, authentication and account-linking may also be governed by that provider's terms, availability, and privacy practices. We are not responsible for any identity provider's acts, omissions, or service disruptions.

4.6 Unauthorized access

You must promptly notify us at contact@irongrove.com if you become aware of unauthorized access to your Account, credentials, API keys, zones, domains, or records, or of any security incident affecting your use of the Service.

4.7 Contact information

You must maintain valid administrative, billing, and any required abuse or registrant contact information. Failure to maintain accurate information may result in failed notices, inability to process domain-related requests, suspension, cancellation, or loss of access to the Service.

5) Plans, Billing, Renewals, and Taxes

5.1 Fees

You agree to pay all fees, charges, usage-based fees, domain fees, taxes, and other amounts associated with your selected plan, purchases, or use of the Service, as described in the Service, checkout flow, billing portal, Documentation, or applicable Order Form.

5.2 Prepaid, non-cancelable fees

Except as required by law or expressly stated in an applicable Order Form or the SLA, all fees are prepaid, non-cancelable, and non-refundable once charged.

5.3 Auto-renewal

Unless otherwise stated, subscriptions and domain-related recurring services renew automatically at the end of each billing period using your default payment method until canceled.

5.4 Plan changes

Upgrades, downgrades, seat changes, usage tier changes, or other plan changes may be prorated, deferred, credited, or applied at the next billing cycle as displayed in the Service, checkout flow, or billing portal at the time of the change.

5.5 Payment processing

Payments may be processed by third-party processors, including Stripe or similar providers. Your payment information may be stored and handled by the processor under its own terms and privacy policy. You authorize us and our payment processors to charge your selected payment method for all amounts due.

5.6 Taxes

Fees do not include taxes unless expressly stated. You are responsible for all applicable sales, use, value-added, goods and services, excise, withholding, duties, levies, or similar governmental assessments, except taxes based on our net income.

5.7 Withholding

If you are required by law to withhold taxes from payments otherwise due to us, you will increase the payment as necessary so that we receive the amount originally invoiced, unless prohibited by applicable law.

5.8 Failed payments

If a payment attempt fails, we may retry charging your payment method, require a new payment method, suspend or restrict access to the Service, deny renewals, remove auto-renewal, or move your account to a different billing cadence.

5.9 Late payment and collections

We may suspend access for non-payment after reasonable notice where commercially practicable, except where immediate action is necessary to prevent fraud, abuse, loss, or continued unpaid usage. You are responsible for reasonable costs of collection, including attorneys' fees and collection costs, to the extent permitted by law.

5.10 Price changes

We may change fees, pricing structures, plan packaging, feature sets, usage thresholds, or billing metrics on a prospective basis upon reasonable prior notice. Changes will apply to future billing periods, renewals, or future purchases unless otherwise required by law.

5.11 Chargebacks

You agree not to initiate chargebacks or payment disputes without first contacting support to attempt resolution. Chargeback abuse, bad-faith payment disputes, or fraudulent payment disputes may result in suspension, termination, denial of future purchases, recovery actions, or referral for fraud review.

5.12 Domain registration and third-party registrar services

If we offer domain registration, renewal, transfer, restoration, redemption, WHOIS/privacy-related services, DNSSEC, or similar domain services, those services may be provided in whole or in part through third-party registrar partners, including OpenSRS, and through registries, resellers, ICANN-related systems, or other providers.

Domain availability, registration approval, renewal, transfer completion, suspension, lock status, DNSSEC status, restoration, redemption, deletion, revocation, expiry handling, registrant verification, dispute outcomes, registry holds, premium pricing, and ICANN compliance actions may depend on registries, registrars, resellers, ICANN, dispute providers, payment verification, government authorities, or other third parties and may be outside our reasonable control.

We do not guarantee that any requested domain will be available, approved, transferable, renewable, restorable, recoverable, or remain registered. You are solely responsible for ensuring that requested domain names, registrations, transfers, renewals, and uses do not violate law, infringe third-party rights, or include illegal, deceptive, abusive, prohibited, or otherwise impermissible terms or uses.

We may refuse, suspend, cancel, lock, delete, decline to process, or require verification for any domain-related request where we believe doing so is necessary or appropriate to comply with law, ICANN requirements, registrar or registry rules, anti-abuse obligations, sanctions obligations, payment verification, fraud prevention, or these Terms, the AUP, or the Anti-Abuse Policy.

You are responsible for maintaining valid payment information, registrant data, contact information, and any required approvals or verification for domain-related services. Even where auto-renewal is enabled, we do not guarantee renewal if payment fails, verification is incomplete, a registry or registrar acts, or a domain enters expiration, redemption, dispute, hold, or deletion status.

6) Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription through the dashboard, billing portal, or another method we make available. Unless otherwise stated, cancellation stops future renewals and takes effect at the end of the then-current billing period. Cancellation does not retroactively reverse charges already incurred.

6.2 Refunds

Except where required by law or expressly stated in an applicable Order Form or the SLA, refunds are not guaranteed. Refunds, including partial refunds, may be granted solely at Irongrove's discretion. In deciding whether to grant a discretionary refund, we may consider factors including incident severity, customer impact, payment history, account standing, fraud risk, abuse risk, prior refunds, and applicable legal requirements.

No refunds or credits will be issued for partial billing periods, unused time, downgraded plans, deleted resources, suspended services, configuration errors, or failure to cancel before renewal, except as required by law.

For clarity, fees for domain registrations, renewals, transfers, redemption, restoration, registry fees, ICANN fees, premium domain charges, and other third-party pass-through domain charges are non-refundable once submitted, charged, or processed, except where required by law.

No refund or credit will be issued for domains or domain-related services that are suspended, canceled, denied, transferred, locked, deleted, redirected, or revoked by ICANN, a registry, a registrar partner, legal process, dispute proceeding, abuse review, sanctions review, naming authority action, or similar third-party determination, except where required by law.

6.3 No refunds for abuse enforcement

If we suspend, terminate, disable, lock, delete, or restrict the Service due to suspected or confirmed violations of these Terms, the AUP, or the Anti-Abuse Policy, you are not entitled to refunds or credits except where required by law.

6.4 SLA credits

Availability-related remedies are governed exclusively by the SLA. Service credits, if any, are the standard and exclusive monetary remedy for SLA non-compliance, subject to the terms and limitations of the SLA.
